1. Agreement to Terms
By creating an account or using CoDocs (the "Service"), operated by Hostmatters.nl ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email.
2. Description of Service
CoDocs is a secure file-sharing platform that allows users to upload, store, and share files with third parties via secure share links. The Service is intended for lawful business use.
3. Eligibility
The Service is available to individuals who are at least 18 years of age and to businesses that are legally established entities. By using the Service, you represent that you meet these requirements.
Accounts are provided on an invite-only basis. We reserve the right to decline or revoke access at our sole discretion.
4. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.
You must provide a valid email address. We use email-based verification for every login. Accounts with invalid or unreachable email addresses may be suspended.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to:
a) Upload, store, or share any content that is illegal, infringing, defamatory, obscene, or harmful, including but not limited to pirated software, copyrighted material distributed without authorisation, malware, or any form of illegal pornography.
b) Distribute warez, cracked software, serial keys, license bypasses, or any other material that facilitates software piracy.
c) Upload, store, or distribute any content that depicts, promotes, or facilitates the exploitation or abuse of minors in any form.
d) Store or distribute controlled substances, weapons, stolen data, personal data of third parties without consent, or any other contraband.
e) Use the Service to conduct phishing, fraud, social engineering, or any other deceptive practice.
f) Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
g) Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
h) Use the Service in any manner that could damage, disable, overburden, or impair the Service.
i) Use automated tools, bots, or scripts to access the Service without prior written permission.
Violation of this Acceptable Use Policy will result in immediate account termination and permanent deletion of all stored files, without prior notice or refund. We may also report violations to the relevant law enforcement authorities where required or appropriate.
6. Your Content
You retain ownership of all files you upload to the Service. We do not claim any intellectual property rights over your content.
You grant us a limited license to store, encrypt, and transmit your files solely for the purpose of providing the Service. We do not access, view, or analyse the content of your files except where required by law or to investigate violations of these Terms.
You are solely responsible for the content you upload and share. You represent and warrant that you have the right to upload and share all content and that such content does not violate any applicable law or third-party right.
7. Storage and Quotas
Your account is subject to storage limits based on your subscription tier. If you exceed your allocated storage, you will not be able to upload additional files until you free up space or upgrade your plan.
We reserve the right to modify storage limits with reasonable prior notice.
8. File Sharing
When you create a share link, you are responsible for controlling access to that link. Share links may be protected with a password and may have an expiration date.
You are responsible for ensuring that the recipients of your share links are authorised to receive the shared content. We are not liable for any unauthorised access resulting from your failure to secure share links.
9. Privacy and Data Protection
We process personal data in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR). Your files are stored encrypted at rest on European servers.
We will not sell, rent, or share your personal data with third parties except as necessary to provide the Service or as required by law.
10. Security
We implement industry-standard security measures including encryption at rest, encrypted share links, and audit logging. However, no system is completely secure. We cannot guarantee absolute security and shall not be liable for any breach resulting from circumstances beyond our reasonable control.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We shall not be liable for any downtime or service interruptions.
12. Termination
By you: You may delete your account at any time via your account settings. Upon deletion, your files will be permanently removed within 30 days.
By us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, particularly the Acceptable Use Policy. In case of termination for violation, no refund will be provided and all data may be permanently deleted immediately.
Effect of termination: Upon termination, your right to use the Service ceases immediately. All active share links will become inaccessible. We are not obligated to retain any of your data after termination.
13. Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities, arising from your use of the Service.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party right.
15. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
